Terms of Service

Effective date: 8 September 2026

These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and Compounder Services AB ("Compounder", "we", "us"). By creating an account or using the Compounder service you agree to these Terms. If you are accepting on behalf of a company, you confirm that you are authorised to bind it.

Compounder Services AB
Swedish company registration number: 559330-6417
Registered office: Strandvägen 7A, 114 56 Stockholm, Sweden
VAT number: SE559330641701

1. The service

Compounder is a software-as-a-service platform that connects to the business systems you choose to authorise, consolidates the data, and provides reporting, analytics, automation, and AI-generated insights (the "Service"). Features and available integrations may evolve over time. We will not materially reduce the core functionality of a paid plan during a term you have already paid for without offering you a pro-rata refund.

2. Accounts and access

To use the Service you must register an account and connect at least one supported data source. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old and authorised by your organisation to accept these Terms on its behalf. Tell us promptly at support@compounder.dev if you believe an account has been compromised.

3. Your data — ownership and license

You retain all rights, title, and interest in your data. This includes the personal data of your employees and customers, the records we retrieve from the systems you connect, and any content you upload to the Service ("Customer Data").

You grant Compounder a limited, non-exclusive, royalty-free, worldwide license to host, process, display, transmit, and create derivative analytics from Customer Data solely for the purpose of providing and improving the Service to you. This license terminates when the relevant Customer Data is deleted or your account is closed, except for aggregated and anonymised data that cannot be reasonably linked back to you or any identified individual.

We do not use Customer Data to train general-purpose machine-learning models, and we do not sell or rent it.

4. Data protection — Data Processing Agreement

This section is the data processing agreement required by Article 28(3) GDPR. It applies automatically to every customer and needs no separate signature. Where it conflicts with the rest of these Terms, this section prevails for personal data.

Roles. For Customer Data retrieved from the systems you connect, you are the controller and Compounder is the processor. For your own account and user data, Compounder is the controller. Our Privacy Policy sets out the split in full.

Subject-matter and duration. We process personal data for as long as your account is active, for the purpose of providing the Service. Nature and purpose: hosting, consolidation, analysis and presentation of business and financial records. Categories of data subjects: your personnel, customers, suppliers and other counterparties. Types of personal data: identification and contact details, employment and payroll data where enabled, and transaction records that relate to identifiable individuals.

As processor, we undertake to:

Your instructions. Your use of the Service — which systems you connect, which features you enable, and the settings you choose — constitutes your documented instructions. We will tell you if, in our opinion, an instruction infringes the GDPR or other data-protection law.

5. Connected systems

The Service integrates with external systems at your election. Your use of those external systems is governed by their own terms and privacy policies. Compounder is not responsible for downtime, data loss, bugs, rate limits, or billing decisions of external providers, though we will make reasonable efforts to notify you of material disruptions.

Compounder is not affiliated with, authorised by, or endorsed by any external provider unless expressly stated in writing. All trademarks belong to their respective owners. Your use of data retrieved from an external system is additionally subject to that system's own terms, and you represent that you have the right to connect and authorise access to each system you connect.

6. Acceptable use

You agree not to:

7. Fees and payment

Paid plans are billed in advance on a monthly or annual basis as selected at checkout. Prices are published at compounder.dev/pricing and are quoted in SEK or EUR, exclusive of any applicable VAT, sales, or similar taxes.

Fees are non-refundable except where required by mandatory law or expressly stated in these Terms. We may update prices with at least 30 days notice, with the new price taking effect at the start of your next billing cycle; if you do not accept an increase you may terminate before it takes effect. A free tier or trial may be offered at our discretion and withdrawn at any time. Overdue amounts may accrue interest in accordance with the Swedish Interest Act (räntelagen).

8. Term and termination

These Terms apply from the date you first accept them and continue until terminated. You may terminate at any time by closing your account from the Settings page or by emailing support@compounder.dev. We may suspend or terminate your access with reasonable notice for material breach of these Terms, non-payment, or if required by law. We may suspend immediately, without notice, if we reasonably suspect fraud, abuse, or conduct that endangers the Service or other users — and where we do, we will tell you why as soon as we reasonably can and restore access if the concern is resolved.

Export window. You may export your data at any time using the export features in the application. For 30 days after termination we will keep your data available for export on request, unless you have asked us to delete it sooner. After that window we delete Customer Data in accordance with our Privacy Policy.

9. Service availability

We aim for high availability but do not commit to a specific uptime in the standard plan. Enterprise customers may negotiate a separate Service Level Agreement. Scheduled maintenance will be announced where reasonably practicable, and we will try to place it outside Nordic business hours.

10. Beta and preview features

We may make features available marked as beta, preview, early access or similar. Those features are provided "as is", may be changed or withdrawn at any time, are excluded from any availability commitment, and should not be relied on for statutory, tax or audit purposes. Everything else in these Terms — including the data protection commitments in section 4 — applies to them in full.

11. Intellectual property

The Service, including all software, user interfaces, graphics, trademarks, and documentation, is owned by Compounder and protected by intellectual property laws. These Terms do not transfer any intellectual property rights to you other than the limited right to use the Service. Feedback and suggestions you provide may be used by Compounder without restriction or compensation. The Service includes third-party open-source components, licensed under their own terms; those terms prevail over these Terms for the components they cover.

12. AI-generated output

Parts of the Service generate analysis, summaries, and recommendations using automated models. Such output can be incorrect, incomplete, or misleading. You are responsible for reviewing AI-generated output before relying on it, and you must not present AI-generated output as audited professional advice. Compounder makes no representation that AI output is suitable for tax filings, regulatory filings, or statutory accounts without review by a qualified professional.

13. Warranty disclaimer

Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Compounder disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Mandatory rights under Swedish law that cannot be waived are unaffected.

14. Limitation of liability

To the maximum extent permitted by law, Compounder's aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of SEK 10,000 or the fees you paid to Compounder in the twelve (12) months preceding the event giving rise to the liability. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of goodwill, or loss of data.

Nothing in these Terms limits either party's liability for intentional misconduct or gross negligence, for death or personal injury, or for any other liability that cannot be limited under mandatory law.

15. Indemnification

You agree to indemnify and hold Compounder harmless from any claim, liability, or expense (including reasonable legal fees) arising out of (a) your violation of these Terms, (b) your violation of any law or third-party right, including intellectual-property rights, or (c) Customer Data you submitted that was not yours to submit or that infringed on a third party's rights.

16. Confidentiality

Each party will protect the other's confidential information using the same degree of care it uses to protect its own confidential information (but no less than a reasonable standard of care), and will not disclose such information except to employees, contractors, and sub-processors bound by comparable confidentiality obligations. This clause does not prevent disclosures required by law or court order.

17. Publicity

We will not use your name, logo, or a description of your business in marketing material without your prior written consent. Consent given for one use is not consent for another, and you may withdraw it on reasonable notice.

18. Force majeure

Neither party is liable for failure or delay in performing its obligations (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, failures of public telecommunications or electricity networks, and acts of government. The affected party will notify the other without undue delay and resume performance as soon as reasonably possible. If the event continues for more than 60 days, either party may terminate on written notice.

19. Notices

We give notice to you by email to the address registered on your account, or by a prominent notice inside the application; it is treated as received the day it is sent. You give notice to us by email to legal@compounder.dev or in writing to our registered office. Keep your account email current — it is where contract and security notices go.

20. Changes to these Terms

We may amend these Terms from time to time. Material changes will be communicated by email to registered users at least 30 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the amended Terms. If you do not accept a material change, you may terminate before it takes effect and we will refund any prepaid fees covering the period after termination.

21. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, or sale of substantially all of our assets, on notice to you.

22. Governing law and disputes

These Terms are governed by the laws of Sweden, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods. Any dispute arising out of or in connection with these Terms shall be finally resolved by the courts of Sweden, with Stockholms tingsrätt as the court of first instance. Nothing in this clause prevents a consumer from bringing proceedings in the courts of their place of residence where mandatory consumer law so allows, or either party from seeking interim relief in any competent court.

23. Order of precedence, severability and entire agreement

If we have signed a separate written agreement with you, that agreement prevails over these Terms to the extent of any conflict. Otherwise, in the event of conflict, the order of precedence is: (1) section 4 (Data Processing Agreement) for personal data, (2) these Terms, (3) the Privacy Policy, (4) any documentation or plan description.

If any provision of these Terms is held unenforceable, it will be replaced by an enforceable provision that comes closest to the original intent, and the remaining provisions remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Compounder concerning the Service and supersede any prior agreements or understandings.
